Terms of Service
Aviation Technologies, Inc. d/b/a CharterBlast

These Terms of Service constitute a legally binding agreement between you and Aviation
Technologies, Inc., a New York corporation doing business as CharterBlast (“CharterBlast”)
governing your use of the CharterBlast Platform. CharterBlast’s websites (the “Sites”), mobile
applications (the “Apps”), and related services, information and communications are collectively
referred to as the “CharterBlast Platform.”
The use of all personal data you submit to the CharterBlast Platform or which we collect about
you is governed by our Privacy Policy (“Privacy Policy”). A copy of our Privacy Policy is
available on the CharterBlast Platform. You acknowledge that by using the CharterBlast
Platform you have reviewed and agree to the Privacy Policy. The Privacy Policy is incorporated
by reference into these Terms of Service and together form the “Agreement.”
By acknowledging the Terms of Service and/or using the CharterBlast Platform, you expressly
acknowledge that you have read, understand and agree, without limitation or qualification, to be
bound by this Agreement, including the dispute resolution and arbitration agreement contained
herein.
IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT AND ABIDE BY ITS
TERMS, YOU MAY NOT USE OR ACCESS THE CHARTERBLAST PLATFORM.
CharterBlast Platform and Online Marketplace for Passengers and Operators
A. Definitions
The CharterBlast Platform is a web- and app-based marketplace which enables connections
between Passengers and aircraft Operators.
“Operators” are individual or corporate aircraft operators, aircraft management companies,
charter operators, or other aviation service providers offering aircraft charter services.“Passengers” are individuals or entities seeking private aviation transportation by chartering
aircraft.
Operators and Passengers are individually referred to as a “User” and collectively as “Users.”
If Users agree on the terms of charter services with another User, those Users may form a
Charter Agreement between themselves as described in Article 3 below.
B. How It Works
Operators may post aircraft availability or charter opportunities on the CharterBlast Platform
specifying aircraft type, departure location, travel dates, pricing, and other relevant charter
details.
Passengers may submit charter inquiries or requests.
CharterBlast may facilitate introductions between Passengers and Operators.
Once CharterBlast provides the introduction or enables communication between the Users,
CharterBlast has completed its marketplace services.
C. Online Marketplace
CharterBlast operates as an online marketplace connecting Passengers seeking charter
transportation with Operators offering aircraft charter services.
CharterBlast does not operate aircraft, does not own aircraft, and does not provide air
transportation services.
Operators operate as independent business entities and determine their own pricing, aircraft
availability, operational procedures, and charter terms.
CharterBlast does not control or direct aircraft operations or flight services.
D. CharterBlast Is Not Responsible for User Engagements
The CharterBlast Platform enables connections between Users for charter services. CharterBlast
is not responsible for the performance or communications of Users and does not control the
quality, safety, legality, or availability of charter services.
CharterBlast makes no warranties regarding the suitability, reliability, timeliness, or safety of
aircraft or operators identified through the Platform.
E. FAA Operational ControlALL FLIGHTS ARRANGED THROUGH THE PLATFORM ARE OPERATED BY
INDEPENDENT AIRCRAFT OPERATORS.
Operators retain exclusive operational control over aircraft and flight operations.
Operational control includes responsibility for:
flight planning
crew assignments
aircraft maintenance
regulatory compliance
safety decisions
CharterBlast does not plan, direct, supervise, control, or monitor aircraft operations and
expressly disclaims any responsibility for flights operated by third-party aircraft operators.
Representations and Warranties of Users
All Users represent and warrant that:
• they are at least eighteen (18) years of age
• they have the legal authority to enter into binding contracts
• they will comply with all applicable laws and regulations
• they will provide accurate and truthful information
• they will act professionally and responsibly when interacting with other Users
Charter Agreements Between Passengers and Operators
A legally binding Charter Agreement may be formed when a Passenger and Operator agree on
charter terms.
CharterBlast is not a party to any Charter Agreement.
Passengers are responsible for payment of charter services.
Operators are responsible for the operation of aircraft and performance of charter services.
Billing and Payment
Passengers contract directly with Operators for charter services.
Operators invoice Passengers directly.
CharterBlast may charge a platform fee for facilitating introductions between Users.
Such fee becomes due upon introduction or booking facilitation.Public Areas and Acceptable Use
The CharterBlast Platform may contain communication features allowing Users to interact.
Users may not:
defame, harass, threaten, or intimidate others
post unlawful material
misrepresent their identity
engage in fraudulent conduct
scrape or collect platform data
CharterBlast may suspend accounts for violations of these provisions.
Mobile Applications
By installing CharterBlast mobile applications, Users consent to updates and functionality
required for operation of the Platform.
Applications may communicate with CharterBlast servers to provide functionality and usage
metrics.
Account Security
Users are responsible for maintaining the confidentiality of account credentials and for all
activity occurring under their account.
Users must notify CharterBlast immediately of any unauthorized account use.
User Generated Content
Users may submit content including charter listings, communications, or other materials.
Users grant CharterBlast a worldwide, non-exclusive, royalty-free license to use such content in
connection with operation and marketing of the Platform.
Third-Party Links
The Platform may contain links to third-party websites.
CharterBlast does not control such websites and is not responsible for their content.
Intellectual Property
All content on the CharterBlast Platform, including software, trademarks, graphics, and design
elements, is owned by CharterBlast or its licensors.Users may not reproduce or distribute such content without prior written consent.
Copyright Complaints
CharterBlast respects intellectual property rights and will respond to copyright complaints in
accordance with applicable law.
Confidential Information
Users agree not to disclose CharterBlast confidential information including proprietary
technology, marketplace data, or business processes.
Confidentiality obligations survive termination of this Agreement.
Deactivation and Suspension
CharterBlast may suspend or terminate accounts that violate this Agreement.
Users may deactivate their account at any time.
Disclaimer of Warranties
THE CHARTERBLAST PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF
ANY KIND.
CharterBlast does not warrant uninterrupted access or accuracy of information.
Limitation of Liability
To the fullest extent permitted by law, CharterBlast shall not be liable for:
flight delays
flight cancellations
aircraft substitutions
operator performance
aviation incidents
CharterBlast’s liability shall not exceed the total platform fees earned in connection with the
transaction giving rise to the claim.
Indemnification
Users agree to indemnify CharterBlast from claims arising from:use of the Platform
breach of this Agreement
charter agreements between Users
Dispute Resolution
Users agree to attempt informal resolution of disputes before initiating arbitration.
Governing Law
This Agreement shall be governed by the laws of the State of New York.
Arbitration
Any dispute arising from this Agreement shall be resolved through binding arbitration
administered by the American Arbitration Association in New York, New York.
Anti-Circumvention
Users agree not to bypass the CharterBlast Platform to complete charter transactions with Users
introduced through the Platform.
If a Passenger and Operator introduced through CharterBlast complete a charter transaction
outside the Platform within twenty-four (24) months of introduction, CharterBlast shall be
entitled to its applicable platform fee.
Aviation Operational Adjustments
Passengers acknowledge that aviation operations may require aircraft substitutions, routing
changes, or schedule adjustments due to operational considerations including weather conditions,
mechanical issues, crew duty limitations, or air traffic control restrictions.
Operators retain discretion over such operational decisions.
International Charter Operations
Passengers are responsible for compliance with customs, immigration, and travel documentation
requirements associated with international travel.
Operators are responsible for aviation regulatory compliance for international operations.
CharterBlast shall not be responsible for international travel restrictions affecting charter flights.
Force MajeureCharterBlast shall not be liable for failure to perform obligations due to events beyond its
reasonable control including severe weather, natural disasters, airspace restrictions, airport
closures, cyber incidents, or government actions.
Electronic Communications and Signatures
Users consent to receive communications electronically through the CharterBlast Platform.
Electronic acceptance constitutes a legally binding signature.
